These Terms of Service (“Terms”) govern your access to and use of the website located at www.pantrycrate.com (the “Site”) and all related ecommerce services provided by PantryCrate (“Company,” “we,” “us,” or “our”).
By accessing or using the Site or placing an order, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. ELIGIBILITY
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services.
2. ELECTRONIC COMMUNICATIONS
By using the Services, you consent to receive communications from us electronically, including confirmations, disclosures, updates, and notices. Electronic communications satisfy any legal requirement that communications be in writing.
3. ACCOUNTS
If you create an account, you agree to:

Maintain the confidentiality of your login credentials
Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts for violations of these Terms or suspected fraudulent activity.
You may stop using the Services at any time. Account deletion requests are subject to legal record-retention requirements.
4. PRODUCTS AND FOOD-RELATED DISCLAIMERS
We sell packaged grocery and pantry products.
Ingredient & Allergen Notice
Product descriptions, ingredient lists, and nutritional information are provided for convenience only. Manufacturers may change formulations without notice.
You are solely responsible for reviewing product packaging for the most accurate and current ingredient and allergen information before consumption.
To the maximum extent permitted by law, we are not liable for allergic reactions, dietary sensitivities, or adverse health effects resulting from product consumption.
No Medical or Dietary Advice
Content on the Site is for informational purposes only and does not constitute medical, nutritional, or dietary advice.
Manufacturer Responsibility
Products are manufactured and packaged by third parties. To the extent permitted by law, any applicable manufacturer warranties are the responsibility of the manufacturer.
5. ORDERS AND ACCEPTANCE
All orders constitute an offer to purchase.
We accept orders when we send a shipment confirmation.
We reserve the right to:
Refuse or cancel orders
Limit quantities
Correct pricing or listing errors
Cancel suspected fraudulent transactions
If we cancel after payment authorization, a refund will be issued to the original payment method.
6. PRICING AND PAYMENT
Prices are listed in U.S. dollars.
Taxes, shipping, and fees are calculated at checkout.
Payment is processed securely through third-party providers (e.g., Shopify Payments, Stripe, PayPal).
We do not store full credit card numbers.
You authorize us to charge your selected payment method for all amounts due.
Improper chargebacks or payment disputes initiated without first contacting us to resolve the issue may result in account suspension.
7. SHIPPING, DELIVERY, AND RISK OF LOSS
Delivery timelines are estimates and not guarantees.
Unless otherwise required by law:
Risk of loss transfers upon confirmed delivery to the shipping address provided by you.
We are not responsible for theft or loss after confirmed delivery.
You are responsible for providing accurate shipping information.
We are not liable for delays caused by carriers, weather events, supply chain disruptions, or other events beyond our reasonable control.
For perishable goods, you must inspect products promptly upon delivery and report any issues within [24–48 hours].
8. RETURNS AND REFUNDS
Due to food safety regulations:
Perishable goods are non-returnable.
Non-perishable goods may be eligible for return within 30 days in original, unopened condition.
Refund eligibility and procedures are governed by our separate Refund Policy.
Refunds are issued to the original payment method.
9. SUBSCRIPTIONS (IF OFFERED)
If you enroll in a subscription program:
You authorize recurring charges to your payment method.
Subscriptions automatically renew until canceled.
We will provide disclosures and cancellation mechanisms required by applicable law, including California’s Automatic Renewal Law.
You may cancel subscriptions through your account or by contacting customer support.
10. PROMOTIONS AND DISCOUNTS
Promotional offers:
May not be combined unless expressly permitted.
May expire or be modified without notice.
Are void where prohibited.
We reserve the right to revoke promotional benefits if misused.
11. USER CONTENT
If you submit reviews, photos, or other content (“User Content”), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and distribute such content in connection with our business.
You represent that you have the necessary rights to submit such content.
We may remove User Content at our discretion.
12. PROHIBITED USES
You may not:
Violate applicable laws
Interfere with Site security
Upload malicious code
Use automated scraping tools
Resell products without authorization
Engage in fraudulent activity
13. INTELLECTUAL PROPERTY
All Site content, branding, logos, images, text, and software are owned by or licensed to the Company and protected by intellectual property laws.
Unauthorized use is prohibited.
14. DISCLAIMER OF WARRANTIES
THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
We do not guarantee uninterrupted or error-free access.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
Nothing limits liability where prohibited by law.
16. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from claims arising out of:
Your violation of these Terms
Your misuse of the Services
Your infringement of third-party rights
17. DISPUTE RESOLUTION AND ARBITRATION
Please read carefully.
Informal Resolution
Before initiating legal action, you agree to contact us and attempt to resolve the dispute informally.
Binding Arbitration
Except for small claims court matters, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Arbitration will occur in Los Angeles County, California.
The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, or enforceability of this arbitration provision.
Each party will bear its own attorneys’ fees unless otherwise required by law.
The Company will pay filing fees required by AAA consumer rules to the extent required.
Class Action Waiver
You agree that disputes will be resolved individually and not as part of any class, consolidated, or representative action.
If the class action waiver is found unenforceable, the arbitration provision shall be null and void.
Opt-Out Right
You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to [legal@pantrycrate.com].
This arbitration provision survives termination of these Terms.
18. GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
19. FORCE MAJEURE
We are not liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, pandemics, labor disputes, carrier disruptions, or government actions.
20. EXPORT AND SANCTIONS COMPLIANCE
You may not use the Services in violation of U.S. export control or sanctions laws.
21. ASSIGNMENT
We may assign these Terms in connection with a merger, acquisition, or asset sale. You may not assign your rights without our written consent.
